OfflinAI Server Licence

This licence is an agreement between OfflinAI Limited, a company registered in Ireland with its address at 2 Stockwell, Sandyford Road, Dublin 16, Ireland ("OfflinAI", "we", "us"), and the person or organisation that installs or uses OfflinAI Server ("you"). By installing, copying or using the Software you accept this licence. If you accept it on behalf of an organisation, you confirm that you are authorised to bind it. If you do not accept this licence, do not install or use the Software.

1. Definitions

“Software” means OfflinAI Server in object-code form: the programs, runtimes, container images, packages, web console and documentation that OfflinAI supplies, and any updates to them that we provide.

“Plan” means the Free plan or a paid plan (such as Pro, Business or Enterprise), as described on offlinai.com or in your Order.

“Licence Key” means a licence key or an offline licence file that OfflinAI issues for a paid Plan.

“Order” means the checkout, quote, order form, invoice or store purchase through which you obtain a paid Plan.

“Server” means one running instance of the Software's server together with its data folder. Nodes joined to a Server count as part of that Server.

“Your Users” means your employees, contractors and the other people and programs that you allow to use the Software for your purposes, including through API keys.

2. Licence

2.1 Free plan. You may install and use the Software free of charge, on any number of devices that you own or control, for your personal use or your organisation's internal purposes, within the limits that the Software applies to the Free plan.

2.2 Paid plans. For each Licence Key, and for as long as its subscription or term is active, you may use the features of its Plan on the number of Servers stated in your Order (one, unless the Order states otherwise), for your organisation's internal purposes.

2.3 Perpetual licences. If your Order is for a perpetual licence, your right to use the features of its Plan does not expire. It applies to the releases of the Software that your Order covers, for example the releases published during an update period stated in the Order.

2.4 When a paid Plan ends. When a subscription or term ends, or a Licence Key is revoked, the Software continues to run with the features of the Free plan. Your data stays on your machines.

2.5 Copies. You may make the copies that you reasonably need to install, run, back up and recover the Software. You may copy OfflinAI's official container images and packages into your own private registries and mirrors in order to deploy them for your organisation. You may not publish the Software, or distribute it or a modified version of it, to anyone else.

2.6 Your Users. You may allow Your Users to use the Software under this licence. You are responsible for their use of it and for their compliance with this licence.

3. Restrictions

Except as this licence expressly allows, or as applicable law permits despite this section, you must not:

(a) sell, rent, lease, sublicense, publish or distribute the Software, or provide it to third parties as a hosted, managed or shared service, unless you have a service-provider agreement with OfflinAI;
(b) modify, translate, decompile, disassemble or reverse engineer the Software, except to the extent that applicable law (including Directive 2009/24/EC on the legal protection of computer programs) permits it;
(c) circumvent, disable or interfere with the Software's licence checks, plan limits or security features, or use a Licence Key on more Servers than your Order allows;
(d) remove or alter any copyright, licence or attribution notice in the Software; or
(e) use the Software in breach of any law, of the rights of others, or of the acceptable use rules in our Terms of Use.

4. Third-party components and AI models

The Software includes open-source components, each licensed under its own terms. Their notices are in THIRD_PARTY_NOTICES.md and THIRD_PARTY_CRATES.md, which are delivered with the Software. Nothing in this licence limits your rights under those licences.

AI models that you download, import or use with the Software are not part of the Software. Their providers license them under their own terms, and you are responsible for complying with those terms.

5. Your data and licence checks

The Software processes your prompts, documents and outputs on machines that you control; OfflinAI does not receive them. To activate a paid Plan and keep it active, the Software sends OfflinAI's licence service the Licence Key, a pseudonymous identifier of the machine, the machine's host name, its operating system and the Software's version, and it refreshes the licence from time to time. An offline licence file lets you activate a Server that has no internet connection. The Software contacts other services only when you use a feature that needs them, for example model downloads, cloud model providers, certificate authorities or audit forwarding that you configure. 6. Updates and support

We may publish updates to the Software. A subscription includes the updates that we publish while it is active. Unless your Order states otherwise, we provide support by email on a reasonable-efforts basis.

7. Early-access features

Features that we mark as early access, preview or beta are provided for evaluation. They may change or be withdrawn and may be less reliable than other features.

8. Warranty

Except as stated in your Order or as required by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. AI models can produce inaccurate or inappropriate output; you are responsible for checking output before relying on it. Nothing in this licence affects any statutory rights that you have as a consumer and that cannot be excluded by contract.

9. Liability

To the extent permitted by law, OfflinAI is not liable for any indirect or consequential loss, or for any loss of profits, revenue, business, data or goodwill. OfflinAI's total liability under or in connection with this licence is limited to the greater of the amounts that you paid OfflinAI for the Software in the 12 months before the event giving rise to the claim, and EUR 100. Nothing in this licence limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded by law.

10. Termination

OfflinAI may terminate this licence if you materially breach it and, where the breach can be remedied, you do not remedy it within 30 days after we notify you. When this licence terminates, you must stop using the Software and delete your copies of it. Sections 3, 4, 8, 9, 11 and 12 survive termination.

11. Export controls and sanctions

You must comply with the export-control and sanctions laws that apply to you and to the Software, including those of the European Union.

12. General

This licence, your Order and the Terms of Use at offlinai.com are the entire agreement between you and OfflinAI about the Software. If they conflict, a written agreement signed by OfflinAI prevails, then your Order, then this licence, then the Terms of Use.

This licence is governed by the laws of Ireland, and the courts of Ireland have jurisdiction over any dispute about it. If you are a consumer, this does not deprive you of the protection of the mandatory laws of, or of your right to bring proceedings in, the country where you live.

You may not transfer this licence or a Licence Key without our written consent, except to a successor of your whole business that accepts this licence. If any provision of this licence is unenforceable, the remaining provisions stay in effect. We may update this licence; the version delivered with a release of the Software applies to that release.

The source code of the Software is confidential and is not licensed to you.
